MEDIA INTEGRATION SOLUTIONS

ProFounder provides fundraising via Regulation D, Rule 504. This exemption basically allows us to make an offer of securities to an unlimited number of unaccredited investors provided that we:

 

• are raising less that $1M in 12 months.

• are raising from people who are already our friends and family (those with whom you have a “substantial, pre-existing relationship”).

 

ProFounder also allows us to fundraise via Regulation D, Rule 506. This exemption basically allows us to make an offer of securities, at an unlimited dollar amount, only to accredited or unaccredited, but "sophisticated" investors provided that our business: only has a total of 35 unaccredited, but sophisticated investors (and unlimited accredited investors)  is not engaging in “general solicitation” and advertising the fundraising opportunity widely. Again, only offering to those with whom the entrepreneur has a “substantial, pre-existing relationship”
